Company Registered? Your First Compliance Checklist for a Private Limited Company

Published on: October 17, 2026

Your Certificate of Incorporation is an important milestone, but it does not complete the work of setting up a compliant business. A new private limited company needs its own records, banking arrangements, corporate approvals and a calendar of obligations.

The best time to organise these is immediately after incorporation, before contracts, payments and hiring make the records more complicated. This checklist helps founders in Nashik prepare for that discussion with their Company Secretary and accountant.

1. Build a reliable company records folder

Keep the Certificate of Incorporation, PAN, memorandum and articles, incorporation filings, registered office documents and details of directors and subscribers together. Store signed documents separately from working drafts, with a clear naming system and controlled access.

Check that names, addresses, ownership information and business objects match what was approved. If something appears incorrect, raise it early. Repeating an error across banking, contracts and invoices makes later correction harder.

2. Separate company money from personal money

Complete the company's banking formalities and document authorised signatories. Reconcile the opening transactions with the incorporation documents and the company's accounting records. Subscription money should be traceable to the relevant subscribers.

A useful internal rule is that every payment must have a purpose, supporting document and accounting treatment. Founders paying business expenses personally should retain evidence and ask how the amount will be recorded. Avoid treating the company bank account as an extension of a personal account.

3. Plan the initial board actions

The Companies Act provides for the first Board meeting within 30 days of incorporation, subject to applicable exceptions. Ask your CS to identify the actions required for your particular company and prepare the notices, agenda, disclosures and minutes.

The discussion may cover banking authority, statutory records, auditor appointment and other initial business matters. Board minutes should reflect actual decisions. A generic template signed without understanding the contents is not a substitute for a properly conducted process.

4. Address the first auditor appointment

Arrange a review of the first auditor appointment requirements promptly. The appointment route and deadlines must be assessed under the Companies Act, including the provisions that distinguish government companies from other companies.

Coordinate with the proposed auditor on eligibility, consent, documentation and any applicable filing. Do not wait until the annual accounts are due to ask who was appointed or whether the initial process was completed.

5. Check whether INC 20A applies before starting business or borrowing

For companies to which section 10A applies, the declaration of commencement is an important condition before commencing business or exercising borrowing powers. MCA's INC 20A instructions specify filing within 180 days of incorporation for the relevant company having share capital.

The declaration involves confirmation that subscribers have paid for the shares they agreed to take. Registered office verification and any applicable sector regulator requirements also need attention. The 180 day period is a filing limit, not permission to begin business first and sort out the declaration later.

6. Organise ownership records and certificates

Review the requirements for share certificates, statutory registers and the record of members. Confirm the relevant timelines and any stamping requirements rather than leaving these documents until an investor asks for them.

A spreadsheet showing founder ownership is useful internally, but it does not replace the company's statutory records. Keep approvals, payment evidence and ownership records consistent.

7. Assess registrations from the actual business activity

Incorporation does not automatically resolve every tax, employment or sector requirement. GST, professional tax, employment registrations, local permissions and industry licences need an applicability review based on the business and its operations.

Record why a registration is required or currently not required, who will monitor the position and what change would trigger another review. For example, hiring staff or changing the service offered may introduce a new requirement.

8. Create a calendar with an owner for every action

Workstream What to record Suggested internal owner
Corporate actions Required approvals, meetings and supporting records Director coordinating with CS
Accounts Invoices, bank reconciliation and financial reporting Accounts team or accountant
Annual filings Applicable forms, preparation dates and signatories Director coordinating with advisers
Business changes Director, office, capital or ownership changes Management before implementation

Set internal preparation dates ahead of statutory deadlines. Include document collection and review time, not only the final filing date. Keep acknowledgements and verify the filing outcome after submission.

Common mistakes to avoid

  • Assuming the incorporation package includes every future compliance task.
  • Starting transactions without checking commencement requirements.
  • Leaving statutory records with no clearly responsible person.
  • Changing directors or the office without discussing approvals and filings.
  • Sharing digital signature credentials casually instead of using an authorised process.
